Own the practice. Keep the leverage.
Foundry is designed to support independence — not replace it. Your practice should be built to evolve, move, and grow without dependency traps. You hold the entire cap table. We charge a transparent monthly fee. You can leave clean within ninety days, anytime.
No lock-in. No carve-outs.
No surprises.
Foundry is built to avoid dependency traps — clear boundaries between what you own and what’s provided, practical export paths, and every term published in the partner agreement.
Everything that matters. All of it.
Equity
One hundred percent of the professional corporation. No options, warrants, or rights of first refusal granted to the Foundry.
Clinical authority
You set protocols, hire clinicians, and decide what care looks like. Foundry does not opine on medicine.
Brand
The name on the door is yours. Your practice brand and operational identity stay with you — we do not co-brand or appear in patient communications.
Patient relationships
Records, referrals, and reputation belong to the practice. Your patient relationship is yours, always.
Economics
Everything you build compounds in your favor, not someone else’s. Net of our flat fee and a transparent percentage of net collections, the upside accrues to you.
The right to leave
Practices evolve. Ninety days from notice to a clean handoff, with predictable transition planning and clear handoff paths. We help, we do not stall.
The questions worth asking.
What if the Foundry is acquired or shut down?
Your data and your practice are governed by the same offboarding clause regardless of who owns the Foundry. A successor cannot extend, modify, or restrict it.
Can I sell the practice later?
Yes, to anyone, on whatever terms you negotiate. We have no right of first refusal and no consent right over a sale.
What is “clean offboarding,” concretely?
Within ninety days of notice: full data export in standard formats, credentialing files transferred, vendor contracts reassigned where assignable, and a written transition plan for everything that is not.
Are there any minimums?
A twelve-month initial term. After that, ninety days is the only notice required. No volume minimums, no growth covenants.
